RedRock Technologies Software License Agreement and Limited Warranty
THIS IS AN AGREEMENT BETWEEN YOU, THE END USER, AND REDROCK TECHNOLOGIES LIMITED. IF YOU CHOOSE TO OPEN THE SEALED PACKAGE CONTAINING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, RETURN THE UNOPENED DISK PACKAGE - AND ALL OTHER ITEMS WHICH ARE PART OF THE PACKAGE - TO YOUR SUPPLIER FOR A FULL REFUND.
RedRock Technologies provides this program and licenses it for use by means of a SOFTWARE LICENSE. Specifically RedRock Technologies does not sell any rights in RedRock Technologies SOFTWARE and retains title to all RedRock Technologies computer software.
REDROCK TECHNOLOGIES SOFTWARE LICENSE
Part of the price that you paid for this product includes the payment of a LICENSE fee. This LICENSE grants you, the LICENSEE, the nonexclusive right to use this software program (the "SOFTWARE") on a single COMPUTER (i.e. with a single CPU) at a single location so long as you comply with the terms of this LICENSE. RedRock Technologies reserves all other rights not expressly granted here.
The LICENSEE owns the media on which the SOFTWARE is recorded or fixed. RedRock Technologies retains ownership of the SOFTWARE recorded on the original disk copy(ies) and all subsequent copies regardless of the form of the media. This LICENSE is NOT a sale of the SOFTWARE or any copy.
The LICENSEE may make one (1) copy of the SOFTWARE for back-up purposes only. This back-up must be marked with a copy of the copyright notice found on the original media. Other copying, in any form, is specifically forbidden. The SOFTWARE may not be modified, merged or included with any other software. All materials contained within this product are the subject of copyright. The LICENSEE may be held legally responsible for any infringement.
The LICENSEE may transfer the SOFTWARE from one computer to another, but not by electronic forms (e.g. via a network). It is not permitted to transfer, modify, adapt, translate, decompile, disassemble or reverse engineer this software. You may not distribute it in any form.
The SOFTWARE may be transferred to another party provided that the LICENSEE destroys all copies of the SOFTWARE in their possession, and that transferee agrees to be bound by the terms and conditions of this license and of the Limited Warranty. In no event may the LICENSEE transfer, assign, rent, lease, sell of otherwise dispose of the software on any basis, except as provided herein.
This LICENSE will be effective until terminated. If the LICENSEE fails to comply with the terms of this LICENSE the LICENSE will automatically terminate. Upon termination the LICENSEE will destroy all copies of this SOFTWARE.
This LICENSE shall be governed and construed in accordance with the laws of England.
LIMITED WARRANTY AND DISCLAIMER OF WARRANTY
THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FURTHER, REDROCK TECHNOLOGIES DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR RESULTS OF USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF SOFTWARE IS ASSUMED BY YOU. IF THE SOFTWARE OR WRITTEN MATERIALS ARE DEFECTIVE YOU, AND NOT REDROCK TECHNOLOGIES OR ITS DEALERS, DISTRIBUTORS, AGENTS, OR EMPLOYEES, ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.
THE ABOVE IS THE ONLY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, THAT IS MADE BY REDROCK TECHNOLOGIES ON THIS REDROCK TECHNOLOGIES PRODUCT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY REDROCK TECHNOLOGIES SHALL IN ANY WAY CHANGE THE SCOPE OF THIS WARRANTY.
IN NO EVENT WILL REDROCK TECHNOLOGIES LIMITED BE LIABLE FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER DIRECT OR INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE SUCH PRODUCT, EVEN IF REDROCK TECHNOLOGIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
This Limited Warranty shall be governed and construed in accordance with the laws of England.
By opening this sealed package, you acknowledge that you have read this License and Limited Warranty Agreement, understand it and agree to be bound by its terms and conditions. You further agree that it is the complete and exclusive statement of the Agreement between us which supersedes any proposal or prior agreement, oral or written, and that any other communications between us relating to the subject matter of this Agreement.
